These Terms & Conditions ("Terms") govern your access to and use of the Little Otter website and member area (the "Service"), operated by Little Otter ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who can use the Service

Our free tools (the pricing calculator, Etsy Store Auditor, and seller guides) are open to anyone, no account required. The member area is currently invite-only and intended for small business owners and sole traders acting in a business capacity, not consumers acting for purely personal purposes. You must be at least 18 and provide accurate information when you sign up. You’re responsible for keeping your password confidential and for all activity under your account.

2. Your account and invite codes

Member area accounts are created using a single-use invite code. Codes may not be shared, resold, or reused once redeemed. We may suspend or terminate an account that breaches these Terms, provides false information, or is used for unlawful purposes.

3. The Service

The Service includes: a pricing/profitability calculator for online sellers (with the same full set of features whether or not you’re logged in); the Etsy Store Auditor, a shop and listings audit tool (a free public-data audit, and a connected tier where you upload your own listings export); free seller guides; a contact form; a waiting list for early access to tools still in development; and a member area with a profile and business-details page, along with any membership advice or support described on the site. We may add, change, or remove features at any time, and may need to suspend the Service for maintenance or other reasons.

4. Estimates, not professional advice

The pricing calculator and any figures, suggestions, or guidance provided through the Service are estimates for informational purposes only. They do not constitute legal, tax, accounting, or financial advice, and should not be relied on as such. You’re responsible for verifying any figures independently and for your own business, tax, and legal decisions. We recommend speaking to a qualified accountant or advisor about your specific circumstances.

5. Acceptable use

You agree not to misuse the Service - including attempting to access another member’s account, interfering with the Service’s operation, uploading unlawful or infringing content (including avatar images), or using the Service to break any applicable law.

6. Intellectual property

The Service, including its branding, design, and calculator, is owned by or licensed to us and protected by intellectual property laws. You keep ownership of any content you upload (such as your profile bio or avatar), but grant us a licence to store and display it as part of operating the Service.

7. Disclaimers and liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We are not liable for indirect or consequential losses, or for decisions made in reliance on estimates produced by the Service (see section 4). Nothing in these Terms limits liability that cannot be excluded under applicable law, such as liability for fraud or death or personal injury caused by negligence.

8. Ending your account

You may stop using the Service and ask us to delete your account at any time by contacting us (see section 11). We may suspend or terminate accounts that breach these Terms.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll update the "Last updated" date above. Continued use of the Service after changes take effect means you accept the revised Terms.

10. Governing law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
